1. Acceptance of Terms THESE TERMS OF USE (the “Terms”) ARE A LEGAL AND BINDING AGREEMENT BETWEEN YOU (“customer”, “user”, “you”, “your”) AND SONGS FROM BONNIE (“Songs from Bonnie”, “we”, “us”, “our”) governing your use of the Songs from Bonnie website www.songsfrombonnie.co.uk (“Site”, “website) Please review the Terms fully before you use the Site. By using the Site, you agree to be bound by these Terms. You shall also be subject to any additional terms posted with respect to individual sections of the Site. If you do not agree, please discontinue the use of the Site. 2. Changes and Updates 2.1. Changes to the Terms. The published date (“Last Updated Date”) states when the Terms were last modified. Songs from Bonnie may change the Terms at any time for a variety of reasons, including but not limited to reflecting changes to the business, applicable law, Services, Site functionality. It is your responsibility to review the Terms regularly. At Songs from Bonnie’s discretion, if an amendment to the Terms includes a substantial change, Songs from Bonnie will notify you. This may be done via email or notification on the Site. The most current version of the Terms will always be posted on the Site and will be effective as of the Last Updated Date. Your continued access or use of the Site after the Last Updated Date indicates your acceptance of the Terms as modified. 2.2. Changes to the Site and/or Services. Songs from Bonnie changes and improves the Site and/or Services on a regular basis, which may add, alter, or remove functionality at any time without prior notice. Songs from Bonnie also reserves the right to withdraw, limit, or suspend access to the Site at any time and without notice. Songs from Bonnie will not therefore accept any liability in case of temporary or indefinite unavailability of the Site. At Songs from Bonnie’s discretion, if changes to the Site are of substantial impact and if practicable under the circumstances, Songs from Bonnie will endeavour to notify you before changes take effect. 2.3. Changes to songs and other content. Songs from Bonnie reserves the right to make changes to or remove songs and other content without prior notification. Songs from Bonnie has no obligation to continue to make available any particular song, resource, or content which has appeared on the Site previously. 3. Disclaimers and Limitations of Liability 3.1. Availability. Please note that the Site is provided on an "AS IS" basis and it is not technically possible for us to guarantee or warrant that this Site will be bug-free, error-free, uninterrupted, or offered indefinitely. You understand and accept that this Site may be inaccessible on occasions due to essential maintenance or technical difficulties or discontinued at any time and without prior notice. Songs from Bonnie will not therefore accept any liability in case of temporary or indefinite unavailability of the Site. Songs from Bonnie have made and will continue to make reasonable efforts to prevent Site unavailability and we endeavour, at Songs from Bonnie’s discretion and if practicable under the circumstances, to notify you of the unavailability or discontinuation. 3.2. Information posted on the Site or in any communication. The information posted on the Site or in any communication, which we may send to you in accordance with our Privacy Policy, is indicative only and is not intended to be representations or advice on which you should solely rely. Whilst Songs from Bonnie makes reasonable efforts to check the accuracy of information provided on the Site or in any communication, it is nonetheless provided on as "AS IS" basis. Songs from Bonnie will not therefore accept any liability for any errors or omissions. If you are in any doubt as to the accuracy of information made available on the Site or in any communication, we recommend you seek verification by contacting us. 3.3. Limitation of liability. Songs from Bonnie’s liability for losses you suffer as a result of us breaking the Terms of this agreement including deliberate breaches is strictly limited to the price of the Membership you purchased. You expressly acknowledge and agree that Songs from Bonnie shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Songs from Bonnie has been advised of the possibility of such damage). 4. Ownership and Intellectual Property 4.1. Songs from Bonnie’s proprietary rights. Songs from Bonnie is the owner or the licensee of all intellectual property rights within the Site (including any content made available through the Site and the underlying source code) that is protected by applicable intellectual property and other laws. You acknowledge and agree that content contained in information presented to you through the Site and Services is protected by third party copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorised by Songs from Bonnie you agree not to reproduce, duplicate, copy, modify, rent, lease, loan, sell, resell, distribute, exploit or create derivative works based on the Site in whole or in part. This includes the sharing of content on Virtual Learning Environments. Songs from Bonnie grants you a non-transferable and non-exclusive right and licence to use the Site for its intended purpose, subject to your compliance with these Terms. This license does not include the right to collect or use information contained on the websites for purposes prohibited by these Terms; to compete with Songs from Bonnie; to create derivative works based on the content of the website; or download or copy the Site other than page caching. If you use the Site in a manner that exceeds the scope of this license or you breach these Terms, Songs from Bonnie may deactivate your account and revoke the Membership license granted to you and your organisation, and may take appropriate legal action against you. 4.2. Linking to the Site and or Services. Songs from Bonnie may authorise you to create a link to the Site provided always that it is done fairly and legally. However, Songs from Bonnie will not accept the following: i. 'framing' of a part of our Site on any other website ii. any suggestion that Songs from Bonnie in some way endorses or sponsors your website or your activities, or that there is a formal relationship of any kind between you and Songs from Bonnie unless this is true. Songs from Bonnie may withdraw any authorisation in relation to linking at any time and without notice. 5. Privacy and Security 5.1. Privacy Policy. Songs from Bonnie is committed to protecting your privacy and maintaining the security of any personal information received. Our Privacy Policy forms part of the Terms and you hereby acknowledge and agree that your personal data received through the use of this Site will be handled in accordance with our Privacy Policy. 5.2. Security. Songs from Bonnie stores and processes your data in a manner consistent with industry standards. Songs from Bonnie has implemented appropriate technical, organisational, and administrative systems, policies, and procedures to help ensure the security, integrity, and confidentiality of your data and to mitigate the risk of unauthorised access. Further details on the security of the Site are detailed within our Privacy Policy. You agree that you will not do anything or allow anything to be done to compromise the security of this website. 5.3. Your responsibility. If you have a Songs from Bonnie user account with which you access the Site, you agree to i. provide true, accurate, current, and complete information about yourself and your organisation as prompted by the registration form(s) ("Registration Data"); ii. maintain and promptly update the Registration Data to keep it true, accurate, current, and complete; ii. keep safe the Registration Data. You should not share your Songs from Bonnie user account and are responsible for any activity occurring in your account, whether authorised by you or not. You agree to iii. immediately notify Songs from Bonnie of any unauthorised access to your account or any other breach of security; iv. exit from your account at the end of each session using the ‘log out’ button; v. defend, indemnify, and hold harmless Songs from Bonnie from any loss or damage arising from unauthorised use of your Registration Data. 6. Songs from Bonnie Accounts 6.1. Songs from Bonnie user account. When signing up with Songs from Bonnie as a Professional/Organisational or Personal customer, a user account (“Songs from Bonnie user account”, “Songs from Bonnie user”) is created. This user account can be a trial account or can be attached to a single-user Membership account “Family Subscription” (e.g. parent/carer), or a multi-user Membership account (e.g. account owned by a school or organisation). Songs from Bonnie user accounts are not subject to an expiry date and will remain registered and will auto renew until the account is closed either by yourself or by Songs from Bonnie (subject to 9.4. & 9.5.). 6.2. Trial account. A Songs from Bonnie user not attached to a Membership account, will enjoy the benefits of a trial account with access to a limited number of selected trial resources, which might be downloaded, viewed, and streamed for free. Trial account users have the ability to purchase Songs from Bonnie Membership by purchasing first time Membership for a new Membership account (single-user or multi-user Membership account) or by renewing Membership for an existing Membership account (multi-user Membership account only). 6.3. Single-user Membership account. When purchasing a single-user Membership (e.g. Parent/carer), this Membership is assigned to a single-user Membership account. The Songs from Bonnie user, who placed the Membership order, will receive access to this Membership account. Active single-user Membership accounts include access to Membership benefits as stated on the Site. Expired or dormant single-user Membership accounts enjoy full access to a limited number of selected trial resources, which might be downloaded, viewed, and streamed for free. Single-user Membership accounts belong to and are used by one individual, and thus access to Songs from Bonnie resources through this Membership account cannot be shared by more than one individual. The Songs from Bonnie user, who placed the first Membership order for this account, will be identified as the owner of the single-user Membership account. Ownership of a single-user Membership account is not transferable. 6.4. Multi-user Membership account. A School, Pre-School, Nursery, Music Service, Multi-Academy Trust, or any other organisation is represented within Songs from Bonnie by a multi-user Membership account, and all Songs from Bonnie Memberships for the school or organisation will be attached to this Membership account. If a school or organisation is not yet registered with Songs from Bonnie, a new multi-user Membership account can be created during the purchase of the first-time Membership. Active multi-user Membership accounts include access to Membership benefits as stated on the Site. Expired or dormant multi-user Membership accounts enjoy full access to a limited number of selected trial resources, which might be downloaded, viewed, and streamed for free. Multi-user Membership accounts belong to the school or organisation and access to the Membership account and Membership benefits can be shared by more than one Songs from Bonnie user, so long as the Songs from Bonnie users are current employees of the school or organisation (subject to 7.2.). 7. Membership Account Management and Use 7.1. Single-user Membership account. The Songs from Bonnie user owning the single-user Membership account is the account administrator and is responsible for i. providing true, accurate, current, and complete information about the single-user Membership account as prompted by the registration form(s) ("Account Data"); ii. maintaining and promptly updating the Account Data to keep it true, accurate, current, and complete. It is against the Terms to use a single-user Membership in a school or any organisational setting if the Songs from Bonnie user owning the single-user Membership account is employed by a school as a full-time or part-time permanent member of staff. It is against the Terms to allow anyone else other than the account owner access to the single-user Membership account and Membership benefits. The single-user Membership account holder is responsible for any activity occurring on their Membership account, whether authorised or not, and agrees to iii. immediately notify Songs from Bonnie of any unauthorised access to the Membership account or any other breach of security; iv. defend, indemnify, and hold harmless Songs from Bonnie from any loss or damage arising from unauthorised use of your Account Data. 7.2. Multi-user Membership account. A multi-user Membership account is managed by one Membership Administrator. i providing true, accurate, current, and complete information about the multi-user Membership account as prompted by the registration form(s) ("Account Data"); ii. maintaining and promptly updating the Account Data to keep it true, accurate, current, and complete; iii. adding and approving additional Songs from Bonnie users to the multi-user Membership account; vi. removing any Songs from Bonnie user not actively employed by the school or organisation owning the Membership; It is against the Terms to share the multi-user Membership account across more than one school or organisation (including other organisations across a hub), except as expressly authorised by Songs from Bonnie. It is against the Terms to allow access to the multi-user Membership account to any Songs from Bonnie user not actively employed by the school or organisation owning the Membership. The Songs from Bonnie user with access to the multi-user Membership account is responsible for any activity occurring on this Membership account, whether authorised or not, and agrees to i. immediately notify Songs from Bonnie of any unauthorised access to the Membership account or any other breach of security; ii. defend, indemnify, and hold harmless Songs from Bonnie from any loss or damage arising from unauthorised use of your Account Data. 8. Membership Period and Fees 8.1. Membership period. The Songs from Bonnie Songs from Bonnie Membership period is 12 months uninterrupted. The Membership period begins on the day the payment has been received and approved by Songs from Bonnie. An automated email notification will be sent to the contact stated on the order documents, confirming the start of the Membership period. Songs from Bonnie shall be under no obligation to provide access to the Site until the Membership fee has been received and approved by. At the end of a Membership period, the Membership account will renew automatically. Any Songs from Bonnie user attached to a Membership account is responsible for cancelling the Membership. Membership can be cancelled at any time within the 12-month period. No refund will be given for early cancellation. 8.2. Membership fees. Membership prices will be as quoted on the Site, except in the case of obvious error. Prices displayed will be in pounds sterling The order total will be stated on checkout before payment is made. Songs from Bonnie reserve the right to change fees at any time, but changes will not affect existing contracts and orders which Songs from Bonnie have already accepted. 8.4. Offers, discounts, and incentives. From time-to-time Songs from Bonnie may run discounts, offers, and promotions on Site Memberships. Songs from Bonnie reserve the right to change, amend or withdraw these offers at any time. 8.5. Payment options and processing. The payment option applicable for your chosen product will be confirmed during checkout. Payment options available may include: i. Debit/Credit card: Once the card details, billing details, and shipping details (where applicable) have been submitted, the card will be debited, and the order placed. Confirmation of the order will be sent via email to the email address linked to the Songs from Bonnie user account used to place the order. ii. PayPal: Once the PayPal details and billing details have been submitted, the PayPal account will be debited, and the order placed. Confirmation of the order will be sent via email to the email address linked to the Songs from Bonnie user account used to place the order. Songs from Bonnie do not hold or store any PayPal payment details. PayPal payments are processed via the secure PayPal payment gateway (www.paypal.com). iii. Invoice/BACS: Once the order has been submitted, an invoice will be sent via email to the email address linked to the Songs from Bonnie user account used to place the order. Ways to make payment will be outlined on the invoice. 9. Suspension and Termination 9.1. Cancellation of services and digital content. Under the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 you have the right to cancel the contract for purchase of any services and digital content within 14 days of placing the order 9.2. Termination of Songs from Bonnie user account. By you. In accordance with our Privacy Policy, requests to terminate a Songs from Bonnie user account may be made any time. To terminate a Songs from Bonnie user account, i. Log into the membership account ii. Click member profile iii. Click, “My Subscriptions” from the drop down menu iv. Click “Cancel Subscription, cancel to confirm. ” v. Click “Yes” If a Songs from Bonnie user requesting termination has access to a single-user Membership account, the single-user Membership account will be terminated at the same time. If a Songs from Bonnie user requesting termination has access to a multi-user Membership account, the Songs from Bonnie user account will be removed from the Membership account during the termination process. 9.3. Termination of Songs from Bonnie user account. By Songs from Bonnie. A Songs from Bonnie user account termination actions the permanent deletion of user data to the extent permissible by applicable law. If a Songs from Bonnie user account scheduled for termination has access to a single-user Membership account, the single-user Membership account will be terminated at the same time. If a Songs from Bonnie user account scheduled for termination has access to a multi-user Membership account, the Songs from Bonnie user account will be removed from the multi-user Membership account during the termination process. 9.4. Violation of Terms. In its sole discretion, without liability to you or any third party, and with or without notice, Songs from Bonnie reserves the right to i. suspend or terminate your Songs from Bonnie user account and the Membership account you access on a temporary or permanent basis, ii. suspend or terminate any of your passwords or accounts (or any part(s) thereof or related files and information), iii. remove and discard any of your content, if Songs from Bonnie believes that you have violated or acted inconsistently with strict accordance of these Terms. Any suspected abuse of the Site, the Services, and benefits given with Membership or without, will be followed up. In the event where a breach of the Terms is confirmed, Songs from Bonnie reserve the right to terminate Membership without refund of monies paid. The responses described in this paragraph are not limited, and Songs from Bonnie may take any other action we reasonably deem appropriate in connection with any breach of these Terms, and Songs from Bonnie may use whatever information that is available about you to stop any further infringements. This may include disclosing any relevant information to the relevant law enforcement authorities. 9.5. Disputes. In the event of any disputes arising, Songs from Bonnie will endeavour to provide analytical information on your usage for purposes of clarification, but has no liability to do so. Songs from Bonnie will not be held responsible for any disputes that arise as a result of usage by users who have been authorised to access the Site and Services via a Membership account. 10. Songs from Bonnie Songs and Resources 10.1. Access to songs and resources. Songs from Bonnie users will have access to high quality songs and resources via the Site and the Song Book. All songs and resources made available are subject to the Songs from Bonnie account type (subject to 6.2. to 6.4.), as well as copyright and license restrictions. Songs and resources will normally need to be accessed by the use of the membership allowance except if free access is provided. Free access to songs and resources may be time limited and Songs from Bonnie reserve the right to change, amend, or withdraw access to free songs and resources. Songs and resources are available without time limitation as long as active Membership is held. 10.2. Trial account. With a trial account access to a limited number of selected trial resources is available, which might be downloaded, viewed, and streamed for free, subject to copyright and license restrictions. Songs and resources accessed as part of a trial account are for the sole use of the individual owning the trial account. Songs and resources may not be shared with others as this is against the law and deemed to be ‘file sharing’. This is because it prevents the copyright holders from being paid when their music or lyrics are used. 10.3. Single-user Membership account. A Songs from Bonnie user with access to an active single-user Membership account (subject to 6.3.) can access any songs published on the Site, subject to copyright and license restrictions. A Songs from Bonnie user with access to an expired single-user Membership account can enjoy full access to a limited number of songs which can be viewed, and streamed for free. Songs accessed as part of a single-user Membership account are for the sole use of the individual owning the single-user Membership account. Songs and resources may not be shared with others as this is against the law and deemed to be ‘file sharing’. This is because it prevents the copyright holders from being paid when their music or lyrics are used. 10.4. Multi-user Membership account. A Songs from Bonnie user with access to an active multi-user Membership account (subject to 6.4.) can access any songs and resources published on the Site, subject to copyright and license restrictions. A Songs from Bonnie user with access to an expired multi-user Membership account can enjoy full access to a limited number of selected trial resources, which might be downloaded, viewed, and streamed for free. Any Songs from Bonnie user with access to a multi-user Membership account is part of this account’s community. Thus, access to Songs from Bonnie songs and resources through a multi-user Membership account is shared by all Songs from Bonnie users attached to the multi-user Membership account. Songs and resources accessed by a Songs from Bonnie user as part of a multi-user Membership account may not be shared with anyone not actively employed by the school or organisation owning the Membership, as this is against the law and deemed to be ‘file sharing’. This is because it prevents the copyright holders from being paid when their music or lyrics are used. 11. Allowance and Streaming Fair Usage 11.1. Purpose. Streaming of the Songs from Bonnie Song Book and the use of the song download allowance is subject to a Fair Usage Policy, which is designed to ensure that all Songs from Bonnie users will be able to stream (Songs from Bonnie users exclusively) within the Songs from Bonnie Song Book as much as needed. 11.2. Streams permissible. The streams permissible differ based on the Songs from Bonnie user or Membership account type (subject to 6.2. to 6.4.). The streams permissible per Songs from Bonnie user or Membership account type are reviewed regularly in conjunction to one another to inform fair usage bands, which are set at a very high level proportionately. 12. Licensing Requirements and Reporting Obligations 12.1. Your responsibility. Depending on the nature of your school or organisation and your intended use of Songs from Bonnie, the songs, resources, or other content, you may be required by law to obtain certain licences. It is your responsibility to ensure that all necessary licences are in place before you begin using Songs from Bonnie and the content and that you comply with your obligations under those licences. 12.2. Licensing bodies. Your use of Songs from Bonnie, the songs, resources, or other content may require a licence from some or all of the following third-party licensing bodies in the UK or their foreign equivalent outside of the UK. This information is non-exhaustive. It is your responsibility to ensure that all necessary licences are in place before you begin using Songs from Bonnie and the content and that you comply with your obligations under those licences. i. Copyright Licensing Agency (CLA) licenses the copying and sharing of certain content; ii. Printed Music Licensing Limited (PMLL) licenses the photocopying of printed music and digitally downloaded printed music; iii. Christian Copyright Licensing International (CCLI) provides licences to churches and schools for various uses of certain content; iv. Performing Right Society (PRS) licenses performances of music in a public venue. 12.3. UK Schools. Schools in the UK may already have the following licences in place. These licenses allow UK schools to use copyright content within the school’s normal educational activities. This information is non-exhaustive. It is your responsibility to ensure that all necessary licences are in place before you begin using Songs from Bonnie and the content and that you comply with your obligations under those licences. i. Education Licence from the CLA, ii. Schools Printed Music Licence (SPML) iii. Collective Worship Copyright Licence (CWCL) and a Collective Worship Music Reproduction Licence (CWMRL 12.4. Reporting obligations. License holders are required to report the following to the appropriate third-party licensing bodies in the UK or other applicable country. This information is non-exhaustive. It is your responsibility to ensure that all necessary licences are in place before you begin using Songs from Bonnie and the content and that you comply with your obligations under those licences. i. all displaying of song lyrics in assemblies and collective worship; ii. all printing and copying (including digital copying) of music scores and lyrics; iii. all printing and copying (including digital copying) of content other than music scores and lyrics (such as teaching materials, scripts, lesson and assembly plans); iv. all performances of content in public; v. any other usage required to be reported by the applicable licensing body. 13. Governing Law and Jurisdiction 13.1. All of the Terms are governed by English Law and any disputes arising out of any transaction with Songs from Bonnie are subject to the exclusive jurisdiction of the English Courts. 13.2. If any of these terms are determined to be illegal, invalid or otherwise unenforceable, then to the extent in which that term is illegal, invalid, or otherwise unenforceable it shall be severed and deleted from these terms and the remaining terms shall survive, remain in full force and effect and continue to be binding and enforceable. When you visit our website and register an account, we process your personal data so that we can provide you with access to Songs from Bonnie and to allow us to manage your account (including billing) and maintain contact for service purposes. We will retain personal data of our current customer contacts for 6 years for our accounting purposes. If you close your account your personal data is removed from our system and only your purchase history (if available) is retained in an identifiable way until the 6 year deletion process takes place.
